Introduction and Acceptance
These Terms of Use constitute a legally binding agreement between you and [FULL LEGAL COMPANY NAME], a [New Jersey LLC/Corporation], doing business as WalkieGO ("WalkieGO," "Company," "we," "us," or "our"). These Terms govern your use of the WalkieGO mobile application, WalkieGO.com, walking and activity-tracking features, WalkieGO Points and rewards, merchant offers and redemptions, community and leaderboard features, subscriptions, referrals, promotions, and any other service that links to these Terms (collectively, the "Services"). By creating an account, checking an acceptance box, purchasing a subscription, or using the Services, you agree to these Terms, the Privacy Policy, Rewards and Points Policy, Community Guidelines, and any additional feature-specific terms. Do not use the Services if you do not agree.

2. Eligibility and Age Requirement
You must be at least 18 years old, have legal capacity to enter a binding contract, provide truthful information, and use the Services only where WalkieGO officially operates. WalkieGO does not knowingly permit children under 13 to use the Services or knowingly collect their personal information. WalkieGO may require date-of-birth, phone, email, identity, device, or merchant verification and may delete or suspend ineligible accounts.
3. Account Registration and Security
You must provide accurate information, maintain only one personal account unless authorized, keep credentials secure, update outdated information, and promptly report suspected compromise. You may not impersonate others, provide false age or identity information, transfer or sell an account, share an account to accumulate Points, create duplicate accounts, circumvent suspension, or use automated registration tools.
4. Electronic Acceptance and Records
WalkieGO may maintain electronic records of the Terms version accepted, date and time of acceptance, account and device identifiers, subscription consent, material notices, and arbitration opt-out status. Electronic acceptance may have the same legal effect as a handwritten signature where permitted by law.
5. Walking and Activity Tracking
WalkieGO may receive or calculate steps, distance, activity duration, goal progress, streaks, milestones, device movement, and related activity data from devices, fitness platforms, wearables, user entries, or connected services you authorize. Step and activity information may be inaccurate because of sensors, device model, permissions, battery settings, connectivity, synchronization, wearables, or third-party errors. WalkieGO records will be presumed accurate, subject to correction of demonstrated errors.
6. Health and Fitness Disclaimer
WalkieGO is a lifestyle, motivation, and rewards platform. It is not a healthcare provider and does not provide diagnosis, medical monitoring, emergency services, treatment, or medical advice. Consult a qualified healthcare professional before beginning or changing physical activity, particularly if you have a medical condition, are pregnant, have a disability or injury, or have been advised to restrict exercise. Stop activity and seek appropriate assistance if concerning symptoms occur.
7. Physical and Environmental Safety
You are solely responsible for deciding where, when, and how to walk. Do not use the app while driving, look at the screen while crossing streets, trespass, enter unsafe or restricted areas, ignore weather warnings, or exceed your physical limits. WalkieGO does not select or certify routes, guarantee neighborhood or merchant-premises safety, control traffic or weather, inspect merchant premises, or provide emergency assistance. Challenges and goals are voluntary.
8. Device Permissions
WalkieGO may request access to motion and fitness data, approximate or precise location, camera, photos, notifications, Bluetooth, contacts when specifically enabled, connected fitness platforms, device information, and diagnostics. You control permissions in device settings, and some features may not work without them.
9. Location Information
Location may be used for nearby offers, local challenges, leaderboards, redemption verification, fraud prevention, and regional availability. WalkieGO will seek appropriate permission before collecting precise location. Unless clearly disclosed and enabled, WalkieGO will not publicly display precise location, provide full location history to merchants, provide real-time location to other users, use precise fitness or location information for third-party targeted advertising, or sell such information to data brokers.
10. Sensitive Fitness and Health-Related Information
Fitness, motion, and activity information may be sensitive. WalkieGO will process it only as described in the Privacy Policy and relevant consent screens. WalkieGO will not use connected fitness information for creditworthiness, employment decisions, insurance underwriting, unrelated advertising profiles, sale to data brokers, or unlawful discrimination.
11. WalkieGO Points
WalkieGO Points are promotional loyalty units. Unless separate written terms expressly state otherwise, they are not money, legal tender, stored value, deposits, securities, cryptocurrency, ownership interests, or investments; they do not earn interest, have no guaranteed monetary value, and cannot be redeemed for cash or sold privately. Point categories may include Walking Points, Promotional Bonus Points, and Adjustment Points. WalkieGO will not sell purchased Points during initial launch unless separate terms and legal review are implemented.
12. Point-Earning Rules
WalkieGO may determine eligible activities, Points per step, caps, thresholds, streak requirements, referrals, multipliers, geographic eligibility, devices, verification, and fraud controls. Material reductions to future earning may be announced in advance where reasonably practical. Valid previously earned Points will not be removed solely because a future earning rate changes, but mistaken or fraudulent credits may be reversed.
13. Point Expiration
Points may expire only as disclosed in the app, Rewards and Points Policy, promotion terms, or a material-change notice. Where legally required or reasonably practical, advance notice will be provided. Points may expire immediately upon confirmed fraud, account manipulation, unauthorized transfer, material Terms violation, or termination for unlawful conduct.
14. Technical Errors and Lost Streaks
WalkieGO may correct duplicate Points, incorrect imports, delayed synchronization, erroneous deductions, incorrect leaderboard totals, and other calculation errors. Users should report visible errors within 30 days unless law requires more time. For verified platform-wide outages, WalkieGO may restore streaks or Points or provide another reasonable adjustment. Activity never received because of disabled permissions, disconnected services, or failure to sync need not be restored.
15. Fraud and Artificial Activity
Prohibited conduct includes phone shaking, mechanical movement, vehicles, pets, fans, machines, GPS spoofing, step manipulation, emulators, device farms, bots, scripts, fake referrals, multiple or shared accounts, false redemptions, merchant collusion, and exploiting bugs. WalkieGO may freeze Points, delay redemption, request verification, reverse invalid Points, remove rankings, suspend features, or terminate accounts. Except where immediate action is needed, WalkieGO may provide a general reason and an opportunity to appeal.
16. Rewards
Rewards may include merchant discounts, complimentary products, sponsored offers, premium offers, bonus Points, and limited-time benefits. Each reward may include expiration, location, minimum purchase, quantity limits, exclusions, hours, verification, and availability restrictions. An available listing does not guarantee inventory. Rewards may not be resold or transferred unless expressly permitted.
17. Confirmed and Unconfirmed Rewards
A reward listing remains unclaimed until redemption is completed. A valid QR code or unique code creates a confirmed redemption, subject to expiration, offer conditions, merchant verification, technical validity, and fraud review. WalkieGO may cancel a confirmed redemption for fraud, merchant closure or withdrawal, illegality, material listing error, safety concerns, inability to fulfill, or events outside reasonable control. WalkieGO may restore redeemed Points or issue replacement Points where appropriate.
18. Merchant Relationship
Participating merchants are independent businesses, not WalkieGO employees, agents, franchisees, joint venturers, or legal representatives unless a written agreement states otherwise. Merchants are responsible for products, services, prices, taxes, licenses, safety, allergens, hours, inventory, accessibility, refunds, employees, premises, offer accuracy, and legal compliance. WalkieGO provides technology and promotional tools and is not the seller unless expressly identified as seller.
19. Merchant Offer Disputes
Users should confirm store hours, product availability, and offer conditions before visiting. Merchant refusal complaints should be submitted within 30 days with available evidence. WalkieGO may contact the merchant, restore or replace Points, suspend an offer or merchant, or take no action where the claim cannot be verified. WalkieGO does not reimburse travel, lost time, reliance, consequential loss, merchant purchase disputes, or injuries caused by merchant products or premises except where law requires otherwise.
20. QR Codes and Redemption Codes
Codes are personal, may be time-limited and single-use, must not be copied, sold, transferred, or publicly posted, and may require location or identity verification. WalkieGO records ordinarily determine whether a code is active, used, expired, or cancelled, subject to correction of demonstrated errors.
21. Referrals
Users may not self-refer, create fake accounts, purchase referrals, use misleading advertising, send unlawful spam, misrepresent their relationship with WalkieGO, or use automation. WalkieGO may withhold or reverse abusive referral rewards. Incentivized endorsements must disclose the relationship where required.
22. Contests, Challenges, and Promotions
Promotions may have separate Official Rules covering eligibility, territory, timing, entry method, no-purchase method where required, prizes, value, odds, selection, taxes, and disqualification. Official Rules control if they conflict with these Terms. WalkieGO will not operate chance-based paid promotions without appropriate legal review.
23. Memberships and Subscriptions
Before enrollment, WalkieGO will disclose price, billing interval, trial duration and conversion, renewal, benefits, cancellation method, refund policy, and applicable taxes. Subscriptions may automatically renew only where clearly disclosed and affirmatively accepted.
24. Subscription Cancellation
WalkieGO will provide a reasonably simple cancellation method. Apple or Google purchases may require cancellation through the applicable app-store account. Unless otherwise disclosed, cancellation stops future renewals, access continues through the paid period, and partial-period refunds are not guaranteed. Mandatory refund rights remain unaffected.
25. Community Features
WalkieGO may allow profiles, photos, posts, comments, likes, groups, challenges, achievements, and communications. Users are responsible for their content, interactions, disclosures, and in-person safety. WalkieGO does not verify every user identity or intention.
26. Community Safety Controls
Where community or messaging features are available, WalkieGO may provide reporting, blocking, communication restriction, content removal, support access, and safety escalation tools. Direct messaging may be limited or delayed until suitable moderation and safety systems are operational.
27. Prohibited Content and Conduct
Prohibited content includes unlawful, violent, threatening, harassing, hateful, discriminatory, sexually explicit, exploitative, self-harm-promoting, privacy-invasive, doxxing, infringing, fraudulent, malicious, dangerous, or regulated product content. Users may not stalk, groom, threaten, impersonate, scam, solicit minors, evade blocks, coordinate harassment, or use WalkieGO for unlawful activity.
28. User Content Ownership and License
Users retain ownership of submitted content. By submitting content, users grant WalkieGO a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, format, transmit, moderate, and technically modify it as reasonably needed to operate, secure, and improve the Services. Private user photos will not be used in general advertising without separate permission. The operational license ends after deletion from active systems, subject to backups, shared copies, legal records, fraud and safety evidence, and separately authorized promotional use.
29. Content Moderation
WalkieGO may remove or reduce distribution of content, issue warnings, disable comments or messaging, suspend privileges or accounts, preserve evidence, report unlawful conduct, and cooperate with lawful requests. WalkieGO is not required to pre-screen every post and may withhold investigation details for safety, privacy, fraud, or legal reasons.
30. Copyright Complaints
Copyright notices should be sent to the designated DMCA agent at dmca@walkiego.com and [ADDRESS]. Valid notices must contain legally required information. WalkieGO may remove content, notify users, process counter-notices, restore content where appropriate, and terminate repeat infringers. The designated agent should be registered before public uploads are enabled.
31. Leaderboards and Public Profiles
WalkieGO may display display names, profile images, steps, rankings, badges, group memberships, and achievements. Privacy controls may be provided. Exact home addresses and precise real-time locations will not intentionally be published. Leaderboard rules may address time zones, ties, delayed synchronization, fraud review, disqualification, manual corrections, and eligibility. Rankings do not create prize entitlement unless Official Rules state otherwise.
32. Groups
Group administrators are not WalkieGO employees. WalkieGO may remove groups used for unsafe, fraudulent, harassing, or unlawful conduct. Group administrators may not access private user information beyond what the product intentionally provides.
33. Corporate Wellness
Corporate wellness features will be governed by separate agreements. Unless clearly disclosed and consented to, employers will not receive precise employee location, private messages, medical information, or full individual activity histories. Employers should receive aggregate or challenge-specific data where practical and must not use information unlawfully for employment, insurance, or discrimination.
34. Donations
If donations are introduced, WalkieGO may not be a charity and contributions may not be tax deductible. Beneficiaries, processing fees, payment-provider terms, and separate donation terms will be disclosed. Donation features will not launch without appropriate review.
35. Sponsored Content
WalkieGO may display sponsored merchants, featured offers, promoted listings, paid placements, affiliate promotions, and advertising. Payment may influence visibility but does not guarantee merchant quality or safety. Sponsored content will be identified where required.
36. Future Crypto and Financial Features
WalkieGO Points are not cryptocurrency. References to future crypto conversion, wallets, digital assets, tokenization, blockchain, investment, cash-out, or financial value create no current right. Any future financial feature will require separate terms, consent, risk disclosures, geographic restrictions, regulatory review, identity verification, potential KYC/AML procedures, tax disclosures, partner agreements, and licensing analysis. WalkieGO may decide not to launch such features.
37. Taxes
Users are responsible for taxes applicable to rewards, prizes, referrals, or other value. WalkieGO may request tax information, withhold where required, issue tax forms, or restrict payment until required information is provided.
38. Intellectual Property
WalkieGO and its licensors own the Services, software, code, interfaces, trademarks, logo, graphics, text, databases, reward architecture, content, designs, and documentation. Users receive a limited, revocable, non-transferable license for lawful personal use. Users may not copy, sell, scrape, reverse engineer, circumvent security, extract databases, use unauthorized APIs, misuse branding, build a competing service from WalkieGO data, or train commercial AI systems on protected materials without written authorization.
39. Third-Party Services
WalkieGO may rely on Apple, Google, cloud providers, map providers, payment processors, analytics, authentication, notifications, fitness platforms, wearables, moderation providers, and merchants. Third parties may have separate terms. WalkieGO is not responsible for independent third-party conduct or outages except where law imposes responsibility.
40. Privacy Policy
The Privacy Policy will explain data categories, sources, purposes, location and fitness use, service providers, advertising restrictions, retention, deletion, state rights, security, children, breach response, and privacy-request methods. These Terms do not replace the Privacy Policy.
41. Data Security
WalkieGO will use reasonable safeguards appropriate to the sensitivity of information, potentially including encryption, access controls, logging, vendor review, testing, incident response, authentication controls, and data minimization. No system is completely secure.
42. Security Incidents and Breach Notifications
WalkieGO will maintain an incident-response process and provide legally required notices to users, regulators, law enforcement, partners, or media. Public details may be delayed to protect users, preserve investigations, comply with lawful instructions, or prevent further harm.
43. Account Suspension
WalkieGO may temporarily suspend accounts for suspected fraud, security concerns, safety threats, payment disputes, repeated complaints, unlawful conduct, manipulated activity, regulatory requirements, or material Terms violations. Emergency action may occur without advance notice. Appropriate cases may include a general reason, appeal instructions, response deadline, and review outcome.
44. Account Termination
WalkieGO may terminate accounts for confirmed fraud, repeated material violations, threats, severe harassment, child exploitation, unauthorized commercial use, illegal conduct, enforcement circumvention, or material risk. Upon termination, access ends, invalid or fraudulent Points may be forfeited, valid promotional Points may be forfeited only where policy and law permit, content may be removed, and required records may be retained.
45. Account Deletion
Users may request deletion through in-app controls or privacy@walkiego.com. Deletion may not immediately remove legally required financial, fraud, security, claims, redemption, backup, shared-content, or other required records.
46. Service Changes
WalkieGO may add, modify, test, limit, or discontinue features. For material adverse changes to paid services, WalkieGO will provide any notice or remedy required by law. Proposed future features are not guaranteed.
47. Service Availability
Services may be interrupted by maintenance, software errors, cyber incidents, network failure, third-party outages, device incompatibility, legal restrictions, natural events, or other circumstances. Continuous availability is not guaranteed.
48. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available." WalkieGO does not warrant perfect accuracy, reward availability, merchant performance, uninterrupted operation, user conduct, content accuracy, health outcomes, financial value, specific earnings, error-free rankings, or release of future features. Non waivable consumer protections remain unaffected.
49. Limitation of Liability
To the maximum extent permitted by law, WalkieGO and its affiliates, owners, officers, employees, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost opportunities, lost Points, merchant reliance losses, or reputational harm. Except where prohibited by law, aggregate liability will not exceed the greater of amounts paid directly to WalkieGO in the prior 12 months or US $100. This limit does not apply to non-waivable liability, including applicable intentional misconduct, fraud, gross negligence, personal injury, or statutory rights.
50. Consumer Indemnification
To the extent permitted by law, users agree to indemnify WalkieGO from third-party claims resulting from unlawful use, fraud, user content, infringement, prohibited merchant activity, or material Terms violations. Users are not required to indemnify WalkieGO for WalkieGO’s own unlawful conduct or non-waivable liability.
Dispute Resolution and Arbitration Agreement
51. Informal Dispute Resolution
Before arbitration or litigation, the claimant must send an individual Notice of Dispute to WalkieGO Legal Department, [ADDRESS], legal@walkiego.com. The notice must identify the claimant, account, dispute, dates, documents, amount claimed, and requested resolution. The parties will attempt good-faith resolution for 60 days. Urgent temporary relief remains available.
52. Agreement to Individual Arbitration
Except for excluded matters, disputes relating to the Services, Terms, Privacy Policy, Points, rewards, subscriptions, enforcement, advertising, merchant offers, or the WalkieGO relationship will be resolved by binding individual arbitration governed by the Federal Arbitration Act.
53. Arbitration Administrator and Rules
Arbitration will be administered by [AAA Consumer Arbitration Rules / NAM Comprehensive Dispute Resolution Rules]. The final administrator must be selected before publication. WalkieGO will pay fees to the extent required by applicable consumer rules or law.
54. Small Claims Court Exception
Either party may bring an eligible individual claim in small claims court if the claim remains individual, falls within jurisdiction, and is not transferred, consolidated, or coordinated with other claims.
55. Intellectual Property and Emergency Relief
Either party may seek court relief for intellectual-property infringement, account takeover, unauthorized system access, data theft, trade-secret misappropriation, or immediate safety or security threats. Remaining disputes may still be arbitrated.
56. No Jury Trial
Where enforceable, both parties waive a jury trial for disputes covered by arbitration.
57. Class-Action Waiver
To the maximum extent permitted by law, claims must be brought individually. No class, collective, representative, or class arbitration is permitted. An arbitrator may award relief only to the individual claimant.
58. Mass Arbitration Procedure
If 25 or more substantially similar demands are coordinated by the same or associated counsel within 180 days, the parties will meet and confer, claims may proceed in staged batches, representative cases may proceed first, remaining claims may be held, limitations may be tolled, and mediation may follow test cases. This process may not be used to prevent legitimate individual claims.
59. Arbitration Opt-Out
A user may opt out within 30 days after first acceptance by sending a signed notice with full name, account email, mailing address, and clear rejection of arbitration to arbitration-optout@walkiego.com or [PHYSICAL ADDRESS]. Opting out will not affect access.
60. Arbitration Severability
If part of the arbitration agreement is unenforceable, the remaining provisions remain effective unless the invalid part defeats the lawful operation of the agreement. Qualified counsel must finalize this clause before launch.
61. Governing Law
Except where federal law, arbitration law, or mandatory consumer law provides otherwise, New Jersey law governs. Non-arbitrable disputes will be brought in state or federal courts located in [HUDSON COUNTY, NEW JERSEY], unless law permits the consumer to proceed elsewhere.
62. Changes to These Terms
WalkieGO may update these Terms for new features, law, security, subscriptions, merchants, corporate wellness, promotions, or regulation. Material changes will receive reasonable notice and renewed consent where required. Changes will not retroactively alter accrued disputes unless lawfully agreed.
63. Electronic Communications
Users consent to receive account and legal communications electronically. Marketing communications will include legally required consent and opt-out mechanisms. Users must maintain an active email address.
64. Assignment
Users may not assign accounts or rights without permission. WalkieGO may assign these Terms in a merger, acquisition, restructuring, financing, asset sale, or transfer of Services, subject to law.
65. Severability
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and remaining provisions remain effective.
66. No Waiver
Failure to enforce a provision does not waive future enforcement.
67. Entire Agreement
These Terms and incorporated policies form the agreement regarding the Services, except for separate Merchant Agreements, Corporate Wellness Agreements, Promotion Rules, subscription disclosures, future crypto terms, or other feature-specific written agreements.
